1. Acceptance of Terms

By accessing or using the Niyantr platform at partners.niyantr.com, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not access or use the platform. These terms constitute a legally binding agreement between you and Etailify Technologies Private Limited.

2. Services Description

Niyantr provides a unified commerce operating system for direct-to-consumer brands. Our platform includes storefront hosting, order management, payment gateway routing, shipping orchestration, inventory management, CRM, marketing automation, and operational intelligence. We reserve the right to modify, suspend, or discontinue any part of the services at any time with reasonable notice.

3. Subscription & Billing

Subscriptions are billed monthly in Indian Rupees (INR). Each billing period is 30 days from your activation date. Payment is due before the current billing period ends. Failure to pay may result in suspension of services until payment is received. All fees are exclusive of Goods and Services Tax (GST), which will be charged at the prevailing rate. We will provide at least 30 days notice before any pricing changes take effect.

4. Transaction Charges

The following transaction charges apply to your use of the platform:

• Payment Commission: A percentage of the order payment value, deducted automatically at the point of payment capture.
• Order Processing Fee: A fixed fee per order, deducted from your store wallet upon order acceptance.
• Shipping Charges: Billed at carrier rates as applicable to each shipment.

All charges are visible in your Partners dashboard at all times.

5. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from unauthorized use of your credentials.

6. Intellectual Property

All platform content, code, design, trademarks, and intellectual property are owned by Etailify Technologies Private Limited. You may not copy, modify, distribute, or create derivative works from any part of the platform without prior written consent. You retain full ownership of your store data, product listings, customer information, and any content you upload to the platform.

7. Data Protection

We handle all personal and business data in accordance with our Privacy Policy. You are responsible for ensuring that your collection, storage, and processing of customer data complies with all applicable data protection laws and regulations.

8. Limitation of Liability

To the maximum extent permitted by law, Niyantr shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities. Our total liability for any claims arising from or related to the services shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or the use of the platform shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka.
